Terms of use and sale
Last updated : 6 October 2026
This is a translation provided for convenience. The contract is governed by French law and the French version at projectpad.fr/cgu is the binding one in case of any discrepancy.
1. Purpose
These terms govern access to, use and sale of ProjectPad. They are entered into between KEIKO SAS, a French company, "the publisher", and any person or company subscribing to the service, "the customer". They include the appendix describing each plan.
The service is sold to professionals only. By creating an account, the customer states that they are subscribing for the purposes of their business, whether as a company or as a self-employed individual. Subscription is not open to consumers within the meaning of French consumer law, and the protections specific to consumers, in particular the right of withdrawal and recourse to a consumer mediator, do not apply.
2. Formation of the contract
The contract is formed online, in French, when the customer creates an account and ticks the box accepting these terms. The date and version accepted are recorded and are binding between the parties. Any subscription to a paid plan from the billing area implies acceptance of the terms in force on that date.
The contract being entered into between professionals, the parties agree to set aside articles 1127-1 and 1127-2 of the French Civil Code. The terms in force can be read at any time at the address of this page, which states the date of their last update.
3. The service
ProjectPad is an online service for tracking project progress and sharing it with your own clients: progress, deadlines, deliverables, approvals and messages. It is provided as is, through a browser, with no installation.
The publisher may change what the service does. Removal of any substantial feature is announced at least thirty days in advance.
4. Account
The customer warrants the accuracy of the information given at sign-up, and is responsible for keeping their password confidential and for everything done from their account. An access they open to one of their own clients remains their responsibility, including the six-digit code they pass on.
5. Plans, price and payment
The service offers a free plan and paid plans, described in the appendix and priced on the home page. The price that applies is the one shown at the time of subscription.
When creating their workspace, the customer receives, once only, fourteen days of the Freelance plan, with no payment method required. At the end of that period, unless they subscribe, the workspace moves back to the free plan under the conditions of article 14, with no charge. A customer who subscribes to the Freelance plan during that period is charged for the first time when it ends. The Agency plan has no trial period.
All prices are shown in euros and exclude tax. Value added tax is added according to where the customer is established. A customer established in France is charged at the French rate in force. A customer established in another member state of the Union who provides a valid intra-community VAT number is invoiced without tax, and reverse charges it in their own state at the rate in force there. A customer established in another member state who provides no valid number is charged at the French rate. A customer established outside the Union is invoiced without tax. The customer answers for the accuracy of the number they declare and of their place of establishment. Any tax due in the customer's own country under local rules remains theirs to bear.
A subscription runs monthly or annually and renews automatically until terminated. Payment falls due in advance, on the first day of each period, and is handled by our payment provider; the publisher never sees a card number. No discount is granted for early payment.
The publisher may change its prices. Any increase is notified to the customer by email at least thirty days before the renewal it applies to, and never applies to a period already paid. A customer who refuses it may terminate before that renewal, under article 14, at no further cost.
6. Late payment
When a payment fails, our payment provider informs the customer and retries for a few days. The service remains available during these retries. If the payment is still not made once they end, the subscription ends and the workspace returns to the free plan, under article 14.
Any amount unpaid on its due date bears, automatically and without prior reminder from the day after that date, late payment penalties at three times the French statutory interest rate in force. A fixed recovery fee of forty euros is also due automatically, under articles L441-10 and D441-5 of the French Commercial Code, without prejudice to further compensation on proof when the costs incurred are higher.
7. Internal seats
An internal seat is one person on the customer's team with access to the workspace. The Free and Freelance plans include one seat. The Agency plan includes five.
Beyond the five seats included in the Agency plan, each additional seat costs €9 excluding tax per month, or €90 excluding tax per year on an annual subscription. Billing is by quantity, in tiers: the first five seats are covered by the plan price and only the following ones are charged extra. The amount due is shown before any confirmation.
Adding a seat takes effect immediately and gives rise to an adjustment prorated over the time remaining in the current period, due on the day of the change and shown before confirmation. Removing a seat takes effect immediately and the corresponding adjustment is credited to the next invoice, with no cash refund.
The number of seats cannot be reduced below the number of seats actually occupied. An invitation sent and not yet accepted occupies a seat just like an active member. It is up to the customer to remove the members concerned or cancel pending invitations before reducing their subscription.
Access opened for the customer's own clients uses no seat and is never charged, however many there are.
When the customer moves to a plan covering fewer projects than they have running, they choose the one that keeps full use. The others remain viewable but can no longer be edited or added to. Spaces already shared with their own clients keep working as read-only. Without a choice within seven days, the publisher keeps the project a client most recently signed in to; the customer may choose another at any time.
8. Customer content
The customer remains the owner of everything they upload: projects, files, messages. They grant the publisher the licence strictly needed to host and display that content as part of the service.
They warrant holding the rights to what they upload and undertake not to upload anything unlawful, infringing a third party's rights, or intended to harm the service.
The customer can download the files uploaded to their projects at any time, and obtain from their account settings an export of the personal data concerning them. The service does not offer a global export of all the content of a workspace.
9. The publisher's intellectual property
The service, its software, interfaces, texts, brand and visual identity are the exclusive property of the publisher or its licensors. The contract grants the customer, for its duration, a personal, non-exclusive and non-transferable right to use the service for the needs of their business, within the limits of the plan subscribed to.
The customer undertakes not to copy, modify, decompile or resell all or part of the service, not to circumvent its limits or security measures, and not to access it by automated means other than those the publisher provides.
10. Personal data and processing
How the data of the service's users is processed is set out in the privacy policy, which forms part of these terms. For that data, the publisher acts as controller.
For the personal data the customer entrusts to the service about their own clients and their contacts, the customer is the controller and the publisher acts as processor, within the meaning of article 28 of the General Data Protection Regulation. This article is the data processing agreement between them.
- Subject and duration: hosting and displaying that data to provide the project tracking service, for the duration of the contract.
- Data and data subjects: end clients and their contacts; name, email address, role, messages, deliverable approvals with the IP address and user agent at the time of approval, satisfaction ratings.
- Instructions: the publisher processes that data only on the customer's documented instructions, which these terms and the use of the service constitute. It informs the customer if an instruction appears to infringe the regulation.
- Confidentiality and security: the people authorised to process that data are bound to confidentiality. The publisher applies the security measures described in the privacy policy, including encryption of traffic and access codes.
- Sub-processors: the customer authorises the publisher to use the processors listed in the privacy policy. Any addition or replacement is announced at least thirty days in advance; a customer who objects may terminate at no cost. Each sub-processor is bound by the same obligations.
- Assistance: the publisher helps the customer, as far as possible, to answer requests from data subjects exercising their rights and to meet their security and impact assessment obligations.
- Data breach: the publisher notifies the customer of any breach of that data without undue delay, and no later than forty-eight hours after becoming aware of it, with the information available.
- End of the contract: when the account or workspace is deleted, that data is erased within the periods set out in the privacy policy; the customer can first retrieve what can be retrieved under article 8.
- Audit: the publisher makes available to the customer the information needed to demonstrate compliance with these obligations, and allows reasonable audits, announced at least thirty days in advance and at the customer's expense.
The customer, as controller, informs their own clients of the use of the service and ensures they have a legal basis to invite them.
11. Confidentiality
Each party keeps confidential the non-public information of the other that it learns through the contract, and uses it only to perform the contract. This obligation lasts for the contract and three years after it ends. It does not cover information that is public, already known to the receiving party, or whose disclosure is required by law or an authority.
12. Availability
The publisher uses reasonable means to keep the service running, without guaranteeing it will be uninterrupted. Planned maintenance is announced in advance when it involves downtime.
13. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code, including a general failure of networks, the host or the power supply that is not attributable to it. Performance is suspended for as long as the impediment lasts. If it lasts more than thirty days, either party may terminate the contract without compensation.
14. Termination
The customer may terminate at any time from their billing area. Termination takes effect at the end of the current period, already paid, with no prorated refund.
On that date, the workspace returns to the free plan. It remains accessible, and projects beyond that plan's limits are handled as set out in article 7: viewable, but no longer editable. Access opened for the customer's own clients is not closed by the termination; the customer can close it at any time from each client's settings.
To stop all use of the service, the customer deletes their account from their settings. The workspaces where they are the only member are then erased with their projects, files and client access; a workspace shared with other members must first be handed over to one of them.
The publisher may suspend or terminate an account for serious breach of these terms, after formal notice that remains unheeded for fifteen days, except in the case of manifestly unlawful activity.
15. Liability
The publisher's liability is limited to direct and foreseeable damage, capped at the amounts paid by the customer in the twelve months before the event giving rise to it, and never less than one hundred euros. No limitation applies in the case of gross negligence, fraud or personal injury.
The customer remains responsible for keeping their own backups of any content they consider critical.
16. Changes to these terms
The publisher may amend these terms. The customer is told by email at least thirty days before they take effect; continued use after that date constitutes acceptance. Otherwise they may terminate at no cost before that date.
17. Governing law and disputes
These terms are governed by French law. In the event of a dispute the parties will seek an amicable solution first.
Failing agreement, where the customer is a trader, any dispute relating to the contract falls within the exclusive jurisdiction of the courts of Thionville, including where there are several defendants or a third-party claim. Where the customer is not a trader, the competent court is determined by the ordinary rules.
